AI Leadership Collective Membership Terms and Conditions

Governing law and venue: Texas / Travis County

Effective Date: May 1, 2026

Introductory Agreement

These Membership Terms and Conditions (the "Terms") govern the subscription-based membership program identified on the applicable checkout, registration, order, or account page (the "Membership") and the related websites, portals, community platforms, virtual training sessions, software tools, AI-enabled workflows, prompts, frameworks, playbooks, templates, guides, materials, events, and services made available by AI Leadership Collective LLC ("AI Leadership," "we," "us," or "our").

By checking a box, clicking to accept, completing a purchase, registering for an account or event, accessing any member community, or otherwise accessing or using the Membership or any related Services, the subscribing customer identified at checkout ("Customer") agrees to be bound by these Terms.

If the individual accepting these Terms is acting on behalf of a company or other legal entity, that individual represents and warrants that they have authority to bind that entity. The individual accepting these Terms also agrees, in their personal capacity as the account administrator, registrant, participant, and Authorized User, to comply with all user-level restrictions, confidentiality obligations, acceptable-use standards, intellectual property protections, community standards, and content responsibilities set forth in these Terms.

Each person who accesses the Services using a Customer account, business email address, invitation, registration link, credential, or community profile is also bound by the user-level obligations in these Terms, regardless of whether that person acts on behalf of Customer or on their own behalf.

1. Definitions

"AI Leadership Materials" means all materials, systems, technology, content, works, data structures, know-how, and intellectual property made available by or on behalf of AI Leadership through or in connection with the Services, including software, source code, object code, user interfaces, workflows, prompts, prompt architecture, system instructions, model configurations, evaluation criteria, scoring logic, taxonomies, methods, processes, playbooks, templates, worksheets, training materials, recordings, visual materials, community content provided by AI Leadership, documentation, frameworks, inventions, discoveries, designs, trade secrets, and derivative works or improvements of any of the foregoing.

"Authorized User" means an employee or individual contractor under Customer's direct control and bound by written confidentiality obligations at least as protective as these Terms, who is permitted by Customer and AI Leadership to access the Services solely for Customer's internal business purposes. AI Leadership may require Authorized Users to register with a business email address associated with Customer.

"Community Standards" means the community rules, code of conduct, participation standards, moderation policies, event rules, or acceptable-use policies posted or otherwise made available by AI Leadership from time to time for the member community, live sessions, events, forums, messaging areas, or other interactive spaces.

"Customer Data" means any data, content, prompts, files, information, business context, personal information, posts, comments, messages, or other materials submitted, uploaded, posted, transmitted, displayed, or otherwise made available by or on behalf of Customer or its Authorized Users through the Services.

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including trade secrets, proprietary business information, roadmaps, strategies, financial information, systems, prompts, methods, technical materials, non-public product information, and non-public community or member information.

"Prohibited Sensitive Data" means information that is subject to heightened legal, contractual, regulatory, security, or industry obligations, including protected health information subject to HIPAA or similar health-data laws; Social Security numbers, taxpayer identification numbers, driver's license numbers, passport numbers, or similar government identifiers; payment card data subject to PCI DSS; children's personal information; biometric identifiers; genetic data; precise geolocation data; credentials, passwords, private keys, authentication tokens, or secrets; export-controlled, classified, military-controlled, or government-restricted information; special-category or highly sensitive personal data; regulated financial, employment, education, or consumer-reporting data; and third-party confidential, proprietary, or trade secret information that Customer is not specifically authorized to disclose for use in the Services.

"Services" means the Membership and all related offerings, including virtual training sessions, community access, event registration, AI Thought Partner access, tools, materials, frameworks, AI-enabled workflows, prompts, and support made available by AI Leadership.

"Third-Party Services" means any third-party platform, model provider, hosting provider, payment processor, video platform, community platform, analytics provider, communications provider, integration, or other vendor used to provide, host, process, support, secure, or improve any part of the Services, including Disco or any successor community platform and any large language model or AI infrastructure provider used by AI Leadership.

2. Contracting Structure; Business Account; Individual User Obligations

Each subscription is issued to one Customer only. The Membership may not be shared across multiple companies, affiliates, portfolio companies, clients, advisory clients, investors, agencies, consultants, or other third parties without AI Leadership's prior written consent.

Customer may permit only its own Authorized Users to access the Services. The number of included Authorized Users, user licenses, seats, or similar access rights is determined by the then-current Membership plan, checkout flow, pricing page, or written order details applicable at the time of purchase or renewal, and may change prospectively from time to time.

Customer and each Authorized User must register and participate using accurate business information, including a business email address unless AI Leadership expressly approves another method. Each Authorized User must accept these Terms before access is activated. AI Leadership may reject, suspend, or terminate access associated with inaccurate, personal, disposable, shared, misleading, or unauthorized registration information.

Customer is fully responsible for all acts and omissions of its Authorized Users and any person accessing the Services using Customer's or an Authorized User's credentials, whether or not such access was expressly authorized by Customer. Customer shall ensure that each Authorized User complies with these Terms before access is granted.

Each Authorized User remains personally responsible for their own conduct, uploads, misuse of AI Leadership Materials, misuse of other member information, violation of Community Standards, and violation of any user-level obligation in these Terms, even if the Authorized User acts outside the scope of Customer's authorization or for personal purposes.

3. Online Acceptance; Electronic Records

Customer and each Authorized User consent to transact electronically with AI Leadership. Checking a box, clicking an acceptance button, completing checkout, creating an account, registering for an event, or accessing the Services constitutes an electronic signature and acceptance of these Terms and any incorporated policies presented or linked at the time of acceptance.

AI Leadership may maintain electronic records of acceptance, including the applicable Terms version, Community Standards version, checkout or registration page, name, company, business email address, account identifier, timestamp, IP address, device/browser information, payment or order details, and related audit information. Customer agrees that AI Leadership's records are admissible to evidence acceptance and use of the Services.

If Customer or an Authorized User does not agree to these Terms, that person must not check the acceptance box, complete checkout, register for an account or event, access the community, or use the Services.

4. Scope of Access; Limited License

Subject to these Terms and timely payment of all applicable fees, AI Leadership grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the active subscription term to permit its Authorized Users to access and use the Services solely for Customer's internal business purposes.

No ownership rights are transferred to Customer or any Authorized User. All rights not expressly granted are reserved by AI Leadership and its licensors. Access to the Services does not grant any license to AI Leadership Materials except the limited access and internal-use rights expressly stated in these Terms.

5. Subscription Term; Billing; Automatic Renewal; Cancellation

The Membership is a recurring monthly subscription unless otherwise expressly stated in writing. Customer authorizes AI Leadership and its payment processor to charge the payment method provided at checkout for all applicable subscription fees, taxes, and other authorized charges on a recurring basis until the Membership is canceled.

Fees are as stated on the applicable checkout page or written order details at the time of purchase or renewal. Unless otherwise expressly stated by AI Leadership in writing, all fees are non-cancelable, non-refundable, and not subject to setoff.

Customer may cancel the Membership at any time through the designated account workflow or by written notice to the contact identified by AI Leadership. Cancellation stops future renewals, but Customer will retain access only through the end of the then-current paid monthly billing period. No prorated refunds, credits, or partial-month reimbursements will be provided. Once a billing period begins, Customer is committed for that full month whether or not Customer or its Authorized Users actively use the Services.

AI Leadership may change pricing, features, or included access rights prospectively upon notice, and such changes will take effect on a subsequent renewal date unless otherwise stated at checkout or required by law.

6. Service Delivery; Sessions; Community Platform

The Services may include live or virtual training sessions, community discussions, event notices, downloadable materials, templates, prompts, access to software tools, AI-enabled workflows, and other member benefits. AI Leadership may add, modify, suspend, or discontinue any aspect of the Services at any time in its discretion, including features, content, speakers, schedules, format, community tools, integrations, replay availability, or AI-enabled functionality.

AI Leadership may use Third-Party Services to deliver portions of the Services, including Disco or any successor community platform for community functionality, event registration, member communications, and member interactions. Availability of the Services may be affected by maintenance, outages, security events, platform changes, model-provider changes, vendor terms, data-processing limitations, or other circumstances beyond AI Leadership's reasonable control.

AI Leadership may, in its sole discretion, record or not record live sessions, make replays available or unavailable, edit or remove recorded content, and determine where and how session content is hosted or distributed within AI Leadership's websites, platforms, or designated community environments. AI Leadership has no obligation to preserve or make available any recording, replay, post, message, file, or other content.

Customer and its Authorized Users may not record, photograph, screenshot for redistribution, download, republish, excerpt, publicly display, transmit, or otherwise reuse any session, replay, workshop, material, member directory, community interaction, or community content except as expressly permitted in writing by AI Leadership. Customer is responsible for ensuring that its personnel do not disclose confidential, sensitive, personal, regulated, or proprietary information in live or community settings unless Customer is willing to assume the associated risk of such disclosure.

7. Customer Data; Confidentiality; Privacy Commitments

As between the parties, Customer retains its rights in and to Customer Data. Customer grants AI Leadership a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, display, process, disclose to Third-Party Services, and otherwise use Customer Data solely as reasonably necessary to provide, secure, support, maintain, and improve the Services for Customer; to prevent fraud, abuse, or security incidents; to comply with law; and to enforce these Terms.

AI Leadership will not sell Customer Data, will not intentionally reuse or repurpose Customer's proprietary or confidential information for unrelated commercial exploitation, and will not use Customer Data to train a generally available foundation model or publicly available general-purpose AI model. Notwithstanding the foregoing, AI Leadership may generate and use de-identified, aggregated, and non-customer-specific usage data, analytics, and insights that do not identify Customer, any Authorized User, or Customer's Confidential Information.

Each party shall use the other party's Confidential Information only as needed to perform or receive the Services and shall protect such Confidential Information using at least reasonable care. Confidential Information does not include information that: (a) is or becomes public through no breach of these Terms; (b) was lawfully known to the receiving party without confidentiality obligation before disclosure; (c) is lawfully received from a third party without confidentiality restriction; or (d) is independently developed without use of the disclosing party's Confidential Information.

Nothing in these Terms restricts AI Leadership from complying with legal process, law enforcement requests, security obligations, or applicable law, provided that, where legally permitted and reasonably practicable, AI Leadership may provide notice to Customer before disclosing Customer Confidential Information.

8. Prohibited Sensitive Data; Customer Content Responsibility

Customer shall not, and shall not permit any Authorized User or third party to, submit, upload, post, transmit, display, or otherwise make available through the Services any Prohibited Sensitive Data or any data or content that Customer is not legally authorized to provide.

The Services are not designed for and may not be used to collect, process, store, transmit, or analyze Prohibited Sensitive Data. Customer acknowledges that AI Leadership cannot control every prompt, upload, post, message, or disclosure made by Customer or its Authorized Users, and Customer remains solely responsible for preventing Prohibited Sensitive Data from being submitted to the Services.

Customer is solely responsible for the legality, accuracy, quality, integrity, and use of all Customer Data and for obtaining all rights, consents, releases, notices, authorizations, and permissions necessary for AI Leadership and its Third-Party Services to process Customer Data in accordance with these Terms.

If Customer or any Authorized User submits Prohibited Sensitive Data or unauthorized third-party content despite these Terms, Customer assumes all risk and responsibility arising from that submission, including any legal, regulatory, contractual, privacy, security, or third-party claims. AI Leadership may delete, restrict, suspend, or remove access to any such content or account in its discretion, but has no obligation to monitor for or identify Prohibited Sensitive Data.

Customer and its Authorized Users are solely responsible for all prompts, files, posts, comments, messages, uploads, recordings, screenshots, and other content they submit or share through the Services or community. Customer acknowledges that other members may view community content shared by Customer or its Authorized Users. AI Leadership may, but is not obligated to, monitor, moderate, remove, preserve, disclose, or restrict content or access in its discretion.

9. Acceptable Use Restrictions

Customer shall not, and shall not permit any Authorized User or third party to:

  • copy, reproduce, distribute, sell, resell, license, sublicense, rent, lease, timeshare, publish, teach, train others on, or otherwise commercially exploit the Services or AI Leadership Materials except as expressly permitted by AI Leadership;
  • use the Services for the benefit of any third party, including any affiliate, client, portfolio company, advisory client, investor, agency, consultant, or other outside organization, except within Customer's own internal operations;
  • reverse engineer, decompile, disassemble, decode, translate, adapt, scrape, prompt-inject, jailbreak, bypass safeguards, attempt to derive, or otherwise seek to discover source code, prompts, prompt architecture, system instructions, model behavior, methods, trade secrets, workflows, scoring logic, evaluation criteria, training logic, data structures, underlying ideas, or non-public functionality of the Services, the AI Thought Partner, the AI Thought Partner Optimizer, StratSync, or any related tool or framework;
  • use AI coding tools, autonomous agents, no-code tools, consultants, contractors, model calls, benchmarking, extraction techniques, observation, or other manual or automated methods to copy, map, clone, recreate, simulate, replace, or create a substitute for the Services or AI Leadership Materials;
  • use the Services, outputs, materials, or AI Leadership's proprietary methodologies to build, fine-tune, validate, train, power, improve, benchmark, or commercialize any competing product, service, model, framework, playbook, workflow, agent, community, training program, advisory offering, or consulting methodology;
  • create derivative works or substantially similar materials based on the Services, including by copying, adapting, summarizing, transforming, or recreating AI Leadership's frameworks, playbooks, prompt structures, worksheets, training materials, taxonomies, workflows, community formats, or methods;
  • remove or obscure any proprietary notices, trademarks, copyright notices, watermarks, source identifiers, or attribution markings;
  • interfere with or disrupt the Services, bypass access controls, scrape or harvest data, conduct unauthorized security testing, upload malware, use bots or automation to extract materials or data, or attempt to gain unauthorized access to systems, accounts, content, or member information;
  • use the Services in any unlawful, infringing, defamatory, harassing, discriminatory, fraudulent, deceptive, threatening, abusive, exploitative, or harmful manner;
  • publicly benchmark, publish comparative tests, disclose performance or security results, or make public statements about non-public functionality or model behavior concerning the Services without AI Leadership's prior written consent;
  • share login credentials, permit account access by unauthorized persons, or use another member's account, business email, identity, or profile;
  • violate any Third-Party Service terms, platform rules, model provider policies, Community Standards, or posted usage limits applicable to the Services.

10. Intellectual Property; Proprietary Rights; Trademarks

AI Leadership and its licensors own and retain all right, title, and interest in and to the Services, AI Leadership Materials, and all related intellectual property and proprietary rights, including copyrights, trademarks, service marks, trade dress, trade secrets, know-how, inventions, patent rights, patent applications, moral rights, database rights, and other registered, unregistered, pending, future, or analogous rights anywhere in the world.

Acknowledgment of Proprietary Rights and Restrictions. Customer and each Authorized User acknowledge that the Services and AI Leadership Materials incorporate, embody, and reflect proprietary intellectual property protected by applicable law, including patents, patent applications, trade secrets, trademarks, copyrights, and other proprietary rights. Customer and each Authorized User further acknowledge that any unauthorized copying, reproduction, reverse engineering, extraction, scraping, replication, adaptation, distribution, disclosure, commercialization, or creation of derivative, substantially similar, or competing works based on the Services or AI Leadership Materials may constitute infringement, misappropriation, or violation of such rights and may result in legal liability, including suspension or termination of access, injunctive relief, damages, and other remedies available at law or in equity.

Without limiting the foregoing, AI Leadership's rights include all software, user interfaces, AI workflows, prompts, prompt architecture, system instructions, model configurations, outputs generated from or reflecting AI Leadership proprietary prompts or frameworks, designs, templates, taxonomies, methods, documentation, training materials, workshop materials, recordings, visual materials, proprietary community content, improvements, derivatives, and related know-how, whether or not registered, registrable, patentable, copyrightable, or protectable under any particular statute.

Customer retains ownership of Customer Data and, as between the parties, may use customer-specific outputs for Customer's internal business purposes during the subscription term, provided that such use does not include or imply ownership of AI Leadership Materials and does not violate these Terms. To the extent any output contains, incorporates, reflects, or is derived from AI Leadership Materials, that portion is licensed only for Customer's internal business use and remains subject to all restrictions in these Terms.

Without limiting the foregoing, all rights in and to the names, brands, marks, and offerings associated with AI Leadership, including any names, logos, service marks, trademarks, product names, program names, framework names, or other identifiers used by AI Leadership from time to time, are and shall remain the exclusive property of AI Leadership or its licensors. Customer shall not use any such marks except for truthful referential use that does not suggest sponsorship, endorsement, affiliation, certification, or ownership and that complies with any trademark guidance issued by AI Leadership.

Any materials, recordings, templates, playbooks, frameworks, prompts, guides, or AI-enabled workflows provided through the Services are licensed, not sold, and may be used only by Customer's Authorized Users for Customer's internal business purposes during the applicable subscription term. Customer shall not copy, repurpose, distribute, publish, teach, commercialize, package, de-identify for reuse, train others on, or make derivative works from such materials outside Customer's organization without AI Leadership's prior written consent.

Customer shall not challenge, contest, assist others in challenging, or assert rights inconsistent with AI Leadership's ownership of the Services, AI Leadership Materials, or related intellectual property. Customer shall promptly notify AI Leadership of any suspected unauthorized use, copying, disclosure, infringement, misappropriation, or misuse of AI Leadership Materials or member-restricted content.

AI Leadership may maintain a non-exclusive schedule of specific protected marks, copyrighted works, patents, patent applications, proprietary frameworks, and other named IP assets as Exhibit A or at a URL designated by AI Leadership. Failure to list an asset in Exhibit A does not limit AI Leadership's ownership or protection of that asset.

11. Community Conduct; Member Interactions; Community Standards

Customer and its Authorized Users shall participate in the community, events, messages, forums, and live sessions in a professional, respectful, lawful, and non-disruptive manner. Customer shall ensure compliance with the Community Standards and any platform-specific rules posted by AI Leadership or the applicable Third-Party Service.

Without limiting any Community Standards, Customer and its Authorized Users shall not spam, harass, threaten, defame, impersonate, intimidate, discriminate against, exploit, or abuse any member, speaker, guest, vendor, AI Leadership representative, or third party; post unlawful, misleading, infringing, offensive, harmful, or malicious content; upload malware or unsafe links; scrape, harvest, sell, or misuse member data; disclose another member's confidential, personal, or proprietary information; record or redistribute private community interactions; or use the community primarily for unsolicited sales, recruiting, investment solicitation, affiliate marketing, lead generation, mass messaging, or commercial outreach.

Customer assumes responsibility for its interactions with other members and for decisions made based on information shared in the community or during sessions. AI Leadership is not responsible for the conduct, statements, advice, offers, transactions, interactions, omissions, or content of other members, attendees, speakers, guests, vendors, or third parties.

AI Leadership may, but is not obligated to, monitor, moderate, edit, remove, preserve, disclose, restrict, suspend, or terminate content, profiles, messages, event registrations, or access in its discretion, including where AI Leadership believes conduct may violate these Terms, Community Standards, third-party platform rules, law, or the safety, integrity, trust, or intended purpose of the community.

AI Leadership may update Community Standards from time to time by posting or otherwise making the updated standards available. Operational, clarifying, safety, moderation, anti-spam, and platform-management updates may become effective when posted. Material changes that materially alter core legal obligations under these Terms will be handled under the Changes to Terms section to the extent required by applicable law.

12. Third-Party Services; AI and Model Providers

Customer acknowledges that the Services may depend on Third-Party Services that AI Leadership does not own or control. Third-Party Services may modify, suspend, discontinue, limit, degrade, interrupt, or terminate services, features, policies, models, pricing, availability, security controls, data-processing practices, or integrations at any time.

AI Leadership is not responsible for any Third-Party Service outage, unavailability, data loss, security incident, data breach, unauthorized access, provider policy change, model behavior, model output, moderation decision, account restriction, integration failure, or other act or omission of a Third-Party Service, except to the extent liability cannot be disclaimed under applicable law.

Customer authorizes AI Leadership to transmit Customer Data to Third-Party Services as reasonably necessary to provide, secure, support, maintain, and improve the Services in accordance with these Terms. Customer is responsible for ensuring that Customer Data may lawfully be provided to and processed by such Third-Party Services, including any AI model provider or community platform used in connection with the Services.

AI Leadership may replace, add, remove, or reconfigure Third-Party Services in its discretion. Customer's use of features provided through Third-Party Services may be subject to additional third-party terms, acceptable-use policies, privacy notices, model policies, community rules, or platform terms.

13. AI-Specific Disclosures; No Professional Advice; Customer Review Obligation

The Services may include AI-enabled features, generated content, prompts, suggested strategies, summaries, automations, or other outputs. Such outputs may be incomplete, inaccurate, biased, outdated, non-compliant, offensive, or inappropriate for Customer's use case and should be reviewed by qualified personnel before being relied upon, published, or implemented.

Customer remains solely responsible for all business decisions, actions, omissions, policies, communications, reliance, implementations, and downstream consequences arising from its use of the Services or any output.

The Services are provided for training, enablement, workflow support, and informational purposes only and do not constitute legal, accounting, tax, investment, employment, medical, compliance, cybersecurity, or other professional advice. Customer should consult its own advisors before making decisions that carry legal, regulatory, financial, employment, security, or other material risk.

14. Feedback

If Customer or any Authorized User provides suggestions, ideas, enhancement requests, comments, proposed workflows, bug reports, community suggestions, or other feedback relating to the Services (collectively, "Feedback"), AI Leadership may use and exploit such Feedback without restriction or obligation, provided that AI Leadership will not publicly attribute Feedback to Customer or disclose Customer Confidential Information in doing so.

15. Marketing; Name and Logo Use; Testimonials

During the subscription term and for twelve (12) months thereafter, AI Leadership may use Customer's company name and logo to identify Customer as a current or former member in factual customer lists, member rosters, or similar marketing materials, unless Customer opts out by written notice to AI Leadership. AI Leadership will not imply that Customer endorses AI Leadership beyond the existence of the relationship.

AI Leadership may use testimonials, quotes, case studies, or similar endorsements attributable to Customer or its personnel only with Customer's prior written approval, which may be granted by email. Nothing in this Section permits AI Leadership to disclose Customer Data or Customer Confidential Information.

16. Suspension and Termination

AI Leadership may suspend or terminate Customer's or any Authorized User's access to all or any portion of the Services immediately, with or without notice, if AI Leadership reasonably believes: (a) Customer has breached these Terms; (b) continued access creates a security, legal, reputational, community, trust, safety, or operational risk; (c) fees are overdue; (d) Customer or an Authorized User has engaged in misuse, infringement, abusive behavior, spam, fraud, unauthorized solicitation, prohibited competitive conduct, or violation of Community Standards; (e) registration information is inaccurate or unauthorized; or (f) suspension or termination is required by law or by a Third-Party Service.

Upon expiration or termination of the Membership for any reason: (i) all rights granted to Customer and its Authorized Users under these Terms immediately end; (ii) Customer and its Authorized Users must cease all use of the Services and AI Leadership Materials; (iii) Customer shall not retain, share, or further use any AI Leadership Confidential Information or materials except to the extent expressly permitted in writing; and (iv) upon request, Customer shall certify deletion or destruction of AI Leadership Materials in its possession or control, except archival copies retained solely as required by law and not accessed for business use.

Sections that by their nature should survive expiration or termination will survive, including provisions regarding payment obligations, intellectual property, confidentiality, restrictions, prohibited data, community conduct, disclaimers, indemnification, limitation of liability, equitable relief, electronic records, and dispute resolution.

17. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI LEADERSHIP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RESULTS, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

AI LEADERSHIP DOES NOT WARRANT THAT ANY OUTPUT, GUIDANCE, TRAINING, WORKFLOW, MODEL RESPONSE, COMMUNITY CONTENT, THIRD-PARTY SERVICE, OR MATERIAL WILL PRODUCE ANY PARTICULAR BUSINESS RESULT OR OUTCOME OR WILL BE ACCURATE, COMPLETE, COMPLIANT, AVAILABLE, SECURE, OR APPROPRIATE FOR CUSTOMER'S PURPOSES.

18. Indemnification

Customer shall defend, indemnify, and hold harmless AI Leadership, its affiliates, and their respective officers, directors, managers, employees, contractors, agents, licensors, model providers, platform providers, service providers, vendors, and representatives from and against any and all claims, actions, proceedings, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Customer Data, including any prompt, file, upload, post, comment, message, screenshot, recording, disclosure, or other content submitted, uploaded, posted, transmitted, displayed, or shared by or on behalf of Customer or any Authorized User;
  • any Prohibited Sensitive Data or unauthorized third-party content submitted, uploaded, posted, transmitted, displayed, disclosed, or otherwise made available by or on behalf of Customer or any Authorized User;
  • Customer's or any Authorized User's use of, reliance on, publication of, implementation of, or downstream use of the Services, AI-enabled outputs, Third-Party Services, community content, member interactions, or session information;
  • Customer's or any Authorized User's violation of these Terms, Community Standards, applicable law, third-party rights, or Third-Party Service terms or policies;
  • Customer's or any Authorized User's infringement, misappropriation, or violation of any intellectual property, privacy, confidentiality, publicity, trade secret, contractual, employment, consumer protection, or other rights of any person or entity;
  • any dispute, claim, or communication between or among Customer, Authorized Users, other members, speakers, guests, vendors, clients, affiliates, portfolio companies, advisory clients, employees, contractors, or other third parties arising from Customer's use of the Services or participation in the community;
  • any security incident, unauthorized access, data breach, loss, disclosure, or regulatory issue arising from Customer Data, Customer credentials, Customer systems, Customer instructions, Customer's use of Third-Party Services, or Customer's failure to comply with these Terms;
  • any allegation that AI Leadership's processing, hosting, transmission, display, disclosure, or use of Customer Data as permitted by these Terms violates law, contract, or third-party rights.

AI Leadership may participate in the defense with counsel of its choosing at its own expense. Customer shall not settle any claim in a manner that admits fault by AI Leadership, imposes obligations on AI Leadership, restricts AI Leadership's business, or affects AI Leadership's rights without AI Leadership's prior written consent.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AI LEADERSHIP OR ITS AFFILIATES, LICENSORS, MODEL PROVIDERS, PLATFORM PROVIDERS, SERVICE PROVIDERS, VENDORS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SAVINGS, GOODWILL, DATA, BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, COMMUNITY OPPORTUNITY, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF AI LEADERSHIP AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY CUSTOMER TO AI LEADERSHIP FOR THE MEMBERSHIP DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law. Customer acknowledges that the pricing, community delivery model, AI-enabled functionality, third-party platform dependencies, and low-touch delivery model of the Membership reflect this allocation of risk.

20. Equitable Relief

Customer acknowledges that any breach of Sections 7 through 12 or any misuse of AI Leadership's intellectual property, Confidential Information, trademarks, recordings, frameworks, prompts, AI-enabled workflows, community content, member information, or materials may cause irreparable harm for which monetary damages would be inadequate. AI Leadership may seek injunctive relief, specific performance, temporary restraining orders, preservation orders, and other equitable remedies, without the requirement to post bond, in addition to any other rights or remedies available at law or in equity.

21. Governing Law; Venue

These Terms and any dispute arising out of or relating to the Services or these Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflicts of law principles. The state and federal courts located in Travis County, Texas shall have exclusive jurisdiction over any action or proceeding arising out of or relating to these Terms or the Services, and each party irrevocably submits to the personal jurisdiction and venue of such courts.

22. Changes to the Terms; Community Standards Updates

AI Leadership may update or modify these Terms from time to time. Unless a shorter period is required by law or by a material security, legal, community-safety, platform, or service issue, AI Leadership will use reasonable efforts to provide notice of material changes by posting updated Terms, emailing the account administrator, posting within the Services, or otherwise notifying Customer through the Services.

Changes become effective on the date stated in the updated Terms and, for existing paid subscriptions, will apply prospectively no earlier than Customer's next renewal after notice, unless continued use after notice is sufficient by law to constitute acceptance or a shorter implementation period is reasonably necessary for security, legal, platform, community-safety, or service reasons. If Customer does not agree to the updated Terms, Customer must cancel the Membership before the next renewal.

Community Standards may be updated separately from these Terms. Operational, clarifying, safety, moderation, anti-spam, event-management, and platform-management updates to Community Standards may become effective when posted or otherwise made available. Material changes that materially alter core legal obligations will be handled under this Section to the extent required by applicable law.

23. Miscellaneous

These Terms, together with any order details presented at checkout, Community Standards, and any written addenda expressly incorporated by reference, constitute the entire agreement between the parties regarding the Membership and supersede all prior or contemporaneous proposals, statements, understandings, and agreements concerning the subject matter hereof. In the event of a conflict, the following order of precedence applies: (a) a signed written addendum or order form; (b) the applicable checkout or order details; (c) these Terms; and (d) Community Standards, except that Community Standards govern community-specific conduct unless inconsistent with these Terms.

Customer may not assign, transfer, delegate, or sublicense these Terms or any rights hereunder, whether by operation of law, merger, asset sale, or otherwise, without AI Leadership's prior written consent. Any prohibited assignment is void. AI Leadership may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, restructuring, or sale of substantially all of its assets related to the Services.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. AI Leadership's failure to enforce any provision shall not constitute a waiver. Notices to Customer may be delivered by email, posting within the Services, account notification, or other reasonable electronic means. Customer shall send legal notices to the contact designated by AI Leadership on its website or by written instruction. Headings are for convenience only and do not affect interpretation. The parties are independent contractors, and no partnership, joint venture, fiduciary, franchise, employment, or agency relationship is created by these Terms.

AI Leadership shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, interruptions in internet, hosting, telecommunications, community platform, model provider, payment processor, or Third-Party Services, denial-of-service attacks, governmental actions, epidemics, pandemics, power failures, security events, or failures of third-party providers.
