AITP Terms of Service
Effective Date: July 25, 2025
These Terms of Service ("Terms") form a legally binding agreement between you and AI Leadership ("Company," "we," "our," or "us") governing access to and use of the AI Thought Partner platform, websites, mobile applications, APIs, documentation, and any related services (collectively, "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

"Hosted Instance" |
Our SaaS solution is built on a multi-tenant architecture that ensures complete data isolation for each customer. While multiple companies share the same platform, robust security measures guarantee that each customer's data remains invisible and inaccessible to others. |
2. Eligibility & Account Registration
- Authority. You represent that you have the authority to bind the Customer to these Terms.
- Accuracy. Customer warrants that all registration information is complete and accurate.
- Credentials. Customer is responsible for maintaining the confidentiality of User credentials and for all activity under the Account.
3. License & Acceptable Use
- License. Subject to these Terms, Company grants Customer a non‑exclusive, non‑transferable right to access and use the Services for internal business purposes.
- Restrictions. Customer shall not:
- Reverse engineer or decompile the Services;
- Use the Services to develop a competing product;
- Upload unlawful or infringing content;
- Attempt to gain unauthorized access to other accounts.
- Usage Limits. Company may apply reasonable technical limits (e.g., API request caps) to maintain system integrity.
4. Customer Data & Confidentiality
- Ownership. Customer retains all right, title, and interest in Customer Data.
- License to Company. Customer grants Company a limited license to process Customer Data solely to provide and improve the Services.
- No Model Training. Customer Data is never used to train or fine‑tune Company’s underlying AI models or shared with other customers.
- Confidentiality. Each party agrees to protect the other’s confidential information with the same degree of care it uses to protect its own (but in no event less than reasonable care).
5. Security & Data Protection
- Encryption. Customer Data is encrypted in transit (TLS 1.2+) and at rest (AES‑256 or higher).
- Data Isolation. Customer data is securely partitioned within our multi-tenant architecture, using strict access controls to ensure data boundaries between users are maintained at all times.
- Compliance. The company maintains a written information security program aligned with SOC 2 Type II and ISO 27001 controls.
- Incident Response. Company will notify Customer without undue delay of any confirmed data breach affecting Customer Data and will cooperate in remediation.
6. Service Levels & Support (Hosted Plans)
- Uptime. Company targets 99.9% monthly uptime for the production environment.
- Support. Standard support is provided via email at aitpsupport@aileadership.com Monday–Friday, 9 a.m.–6 p.m. ET, excluding U.S. holidays.
7. Intellectual Property
- Company IP. The Services, including all associated intellectual property rights, are and will remain the sole property of Company and its licensors.
- Feedback. Customer grants Company a perpetual, irrevocable license to use feedback for any purpose without obligation.
8. Beta & AI Output Disclaimer
- AI Output. The Services generate content using large language models that may be inaccurate. Customer is responsible for verifying all outputs before relying on them.
- Beta Features. Beta or preview features are provided "as is" without warranty and may be discontinued at any time.
9. Term, Suspension & Termination
- Term. These Terms begin on the Effective Date and continue until all subscriptions expire or are terminated.
- Suspension. Company may suspend access for non‑payment, material breach, or security risk.
- Termination for Cause. Either party may terminate with thirty (30) days’ notice if the other materially breaches and fails to cure.
10. Warranties & Disclaimers
- Performance Warranty. Company warrants the Services will materially conform to documentation. Customer’s sole remedy is re‑performance or a pro rata refund.
- Disclaimer. Except as expressly stated, the Services are provided “as is” and Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.
11. Limitation of Liability
- Indirect Damages. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages.
- Cap. Company’s aggregate liability is limited to the greater of (a) fees paid by Customer in the twelve (12) months before the claim or (b) one hundred thousand dollars (US $100,000).
- Exclusions. The foregoing caps do not apply to (i) indemnification obligations, (ii) breach of confidentiality, or (iii) gross negligence or willful misconduct.
12. Indemnification
- By Company. Company will defend Customer against any third‑party claim that the Services infringe intellectual property rights and pay resultant damages, provided Customer promptly notifies Company and cooperates in the defense.
- By Customer. Customer will defend Company against claims arising from Customer Data or Customer’s misuse of the Services.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, excluding its conflict‑of‑law rules. Any dispute arising out of these Terms will be resolved exclusively in the state or federal courts located in Travis County, Texas, and each party consents to such jurisdiction.
14. Export Compliance & Sanctions
Customer agrees to comply with all applicable export and sanctions laws and represents it is not prohibited from receiving the Services under such laws.
15. Changes to Terms
Company may modify these Terms from time to time, consistent with applicable law. Changes will become effective upon posting or as otherwise specified. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms.
